By accessing or using ToolHive (the “Services”), you agree to these Terms. If you do not agree, do not use the Services. If you are using the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.
1. Acceptance of terms
These Terms form a legally binding agreement between you and ToolHive. We may update these Terms from time to time. Your continued use of the Services after updates become effective constitutes acceptance of the updated Terms.
2. Accounts & eligibility
- You must provide accurate and complete account information and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
3. Platform role & marketplace rules
ToolHive is a platform that helps connect buyers and suppliers. Unless explicitly stated otherwise, ToolHive is not a party to the transaction between buyers and suppliers. Buyers and suppliers are responsible for negotiating, executing, and fulfilling their agreements.
4. Supplier obligations
If you are a supplier, you agree that:
- Listings must be accurate, complete, and not misleading (pricing, availability, specs, images).
- You will respond to RFQs and communications in good faith and within a reasonable timeframe.
- You will comply with applicable laws, regulations, and industry requirements for your products/services.
- ToolHive may remove or restrict listings that violate these Terms or platform policies.
5. Buyer obligations
If you are a buyer, you agree that:
- You will submit RFQs and inquiries in good faith and with accurate requirements.
- You will not attempt to manipulate listings, pricing, reviews, or supplier rankings.
- You will comply with applicable laws and requirements relevant to procurement and use.
6. User content & listings
You retain ownership of content you submit (e.g., listings, images, descriptions, messages). By submitting content, you grant ToolHive a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely for operating and improving the Services.
7. Prohibited use
You may not:
- Use the Services for unlawful, fraudulent, or harmful purposes.
- Upload malware or attempt to disrupt, exploit, or reverse engineer the Services.
- Scrape or harvest data without permission, or attempt to access non-public areas.
- Post content that infringes intellectual property, is deceptive, or violates rights of others.
8. Intellectual property
The Services, including trademarks, branding, design, and underlying software, are owned by ToolHive or its licensors and are protected by applicable laws. You may not use ToolHive branding without prior written permission.
9. Disclaimers
The Services are provided “as is” and “as available.” ToolHive does not guarantee uninterrupted, error-free operation, or that listings will be accurate or meet your needs. Any reliance on supplier or buyer information is at your own risk.
10. Limitation of liability
To the maximum extent permitted by law, ToolHive will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Services.
11. Suspension & termination
ToolHive may suspend or terminate access to the Services if we reasonably believe you violated these Terms, created risk or possible legal exposure, or used the Services in a way that could harm ToolHive or others.
12. Governing law
These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict of laws principles. You agree to submit to the competent courts in Saudi Arabia for disputes arising from these Terms or the Services.
